Breach of Contract
A party's failure to perform a contractual obligation without a lawful excuse.
A breach claim in Tennessee requires an enforceable contract, a failure to perform, and resulting damages. Each element is contested more often than people expect, particularly where the agreement was informal or evolved over time.
Not every failure to perform is a breach. Contracts frequently contain conditions, notice requirements, and cure periods, and a party who has not complied with those may struggle to enforce the agreement even where the other side has clearly fallen short.
The limitation period generally runs from the breach rather than from when the loss became apparent, which is why identifying the date of breach matters early.
